We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.
3. Fees and Payment
Certain Services may be subject to fees. You agree to pay all fees specified in the applicable service agreement or order form.
Payment Terms
Unless otherwise agreed in writing, all fees are due upon receipt of invoice. Late payments may be subject to interest charges.
Taxes
You are responsible for paying all taxes associated with your purchases. If we have the legal obligation to pay or collect taxes, the taxes will be added to your payment.

Both parties agree to maintain the confidentiality of any proprietary information received from the other party during the term of service.
Confidential Information shall not include information that:
- Is or becomes generally known to the public
- Was in the receiving party's possession prior to being furnished
- Is rightfully acquired by the receiving party from a third party without restriction
- Is independently developed by the receiving party
5. Intellectual Property
The Services and all materials therein or transferred thereby, including software, images, text, graphics, logos, and other materials are the property of Finology Nexus or our licensors.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without express written permission from us.
6. Limitation of Liability
To the maximum extent permitted by law, Finology Nexus shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use or alteration of your transmissions or content
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
